These Terms of Service govern your use of any applications or integrations operated by Nyanmeshi JAPAN PTE. LTD. (UEN: 202536798D), registered at 175 Bukit Batok West Avenue 8, #06-273, Singapore 650175 ("we", "us", "our"), including our social media publishing tools connected to third-party platforms such as TikTok, Instagram, and Facebook. Please also read our Privacy Policy, which is incorporated into these Terms by reference. In case of any discrepancy between language versions of this document, the English version prevails.
1. Scope and Who These Terms Apply To
Our applications are internal business tools used solely to publish content on behalf of Nyanmeshi JAPAN PTE. LTD.'s own social media accounts. These Terms apply to authorised personnel and contractors of Nyanmeshi JAPAN PTE. LTD. who are granted access to our tools. By accessing the tools, such persons agree to these Terms in addition to any applicable employment or contractor agreement. The tools are not offered to, and create no rights in favour of, the general public or any third party.
2. Acceptable Use
Authorised users of our tools agree to:
- Comply with the terms of service, developer/platform terms, and community guidelines of all connected platforms, including the Meta Platform Terms and the TikTok Developer Terms.
- Not use our tools to post content that is misleading, harmful, or unlawful.
- Not attempt to reverse-engineer, misuse, or circumvent our integrations.
- Safeguard any API credentials or access tokens and not share them with unauthorised parties.
3. Intellectual Property
All content published through our tools remains the property of Nyanmeshi JAPAN PTE. LTD. or the respective rights holders. No licence to our brand assets or content is granted to third parties.
4. Disclaimer of Warranties
Our tools are provided "as is" without warranty of any kind, whether express or implied, except to the extent such warranties cannot be excluded under Singapore law. We do not warrant that the tools will be uninterrupted or error-free. Liability for loss of data and service interruption is addressed in clause 5.
5. Limitation of Liability
To the fullest extent permitted by law, Nyanmeshi JAPAN PTE. LTD. shall not be liable for any indirect, incidental, special or consequential damages, or for any loss of data, profits or goodwill, arising from the use of or inability to use our tools, even if advised of the possibility of such damages. Our total aggregate liability arising out of or in connection with these Terms shall not exceed SGD 100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
6. Indemnity
Authorised users shall indemnify and hold harmless Nyanmeshi JAPAN PTE. LTD. against any claims, losses, liabilities and reasonable expenses arising from their breach of these Terms, misuse of the tools, or violation of any connected platform's terms or applicable law.
7. Suspension and Termination
We may suspend or terminate any user's access to the tools at any time, including where necessary to comply with a connected platform's requirements, to protect security, or following a breach of these Terms.
8. Governing Law
These Terms are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
9. Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary or, if it cannot be, severed, and the remaining provisions shall continue in full force and effect.
10. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the tools and supersede all prior communications and representations, except for any applicable employment or contractor agreement.
11. Changes
We may update these Terms at any time. The date at the top of this page reflects the most recent revision. Continued use of our tools after changes are posted constitutes acceptance of the updated Terms.
